Bidding Terms & Conditions
1. Artist Profit Share
Artists will receive 90% of the profit from the winning bid when the bidding slot is not sponsored or a BeatFarm-created project. The remaining 10% is retained by BeatFarm to cover platform overhead, event hosting costs, and payment processor transaction fees (including, but not limited to, Stripe fees). “Profit” refers to the gross bid amount less these deductions.
2. Originality and Ownership
By submitting a sample pack for bidding or placing a bid, you warrant and represent that you are the sole owner or have all necessary rights, licenses, and permissions to use and distribute the submitted materials. You affirm that no third-party copyrights or intellectual property rights are infringed.
3. Legally Binding Bids
All bids submitted on the BeatFarm platform are considered legally binding offers and must be made in good faith. Bids become binding upon placement and remain enforceable through the completion of the bidding process and associated transaction, unless otherwise provided by law (e.g., in the case of clear mistakes, misrepresentation, or fraud).
4. Circumvention and Breach
Any attempt to circumvent or violate these terms may result in immediate suspension or termination of your BeatFarm account(s) at BeatFarm’s sole discretion. If you (the bidder) renege on a binding agreement, you agree to cover:
- All applicable payment processor transaction fees (currently 10% Stripe transaction fees or as applicable);
- Reimbursement of reasonable overhead and administrative costs incurred by BeatFarm for hosting the current and related events.
5. Limitation of Liability
You acknowledge and agree that BeatFarm and its users are not liable for any disputes, claims, or liabilities arising from the content, ownership, or use of submitted materials, except where prohibited by law. Nothing in this agreement limits BeatFarm’s liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
6. Technical Requirements
To ensure proper bid placement, users are advised not to navigate away from the bidding page or close the browser during an active bid. BeatFarm is not liable for bids disrupted due to user-side technical issues.
7. Submission Guidelines
For consideration in the weekly bidding program, please email:
- A 500px x 500px image (under 2MB);
- A plain text (.txt) file with the desired description;
- All packaged in a single .zip file; to bidding@beatfarm.org.
8. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to participate in BeatFarm bidding.
9. Class Action Waiver
By participating in BeatFarm’s bidding process, you waive any right to participate in class action lawsuits, class arbitrations, or other representative actions against BeatFarm. All disputes must be resolved individually.
10. Governing Law and Dispute Resolution
These terms are governed by the laws of Alabama/US, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved through binding arbitration or small claims court, at BeatFarm’s discretion.
